Please read these Terms and Conditions carefully before using our Budgie passporting

service (the Services) operated by Inicio AI (“us”, “we”, or “our”).

Your access to and use of the Services is conditioned on your acceptance of and

compliance with these Terms. These Terms apply to all visitors, users and others who

access or use the Services.

By accessing or using the Services you agree to be bound by these Terms. If you

disagree with any part of the terms, then you may not access the Services.

You must be at least 18 years of age to use our Services.

Who we are

Budgie and MyBudgie are trading styles of Inicio Ai Ltd

Inicio AI Ltd is authorised and regulated by the Financial Conduct Authority. Our Financial

Services Register number is 1012328. Our permitted business includes credit broking

and providing credit references. You can check our registration on the Financial

Intellectual property

The Services and its original content, features and functionality are and will remain the
exclusive property of Inicio AI and its licensors. The Services is protected by copyright,
trademark, and other laws of both the United Kingdom and foreign countries. Our
trademarks may not be used in connection with any product or service without the prior
written consent of Inicio AI.

What are our Services

Budgie is an online tool to help you understand your financial situation by completing a
budget, so that you can see your income (salary, pension, benefits etc), your expenditure
(rent, bills, groceries etc) and what’s left each month in one place. We can also help you
to share your budget with other companies on your behalf and we will not charge you
for this service.

If you ask us to share your budget with other companies this is known as passporting
your data and is the regulated activity that we are authorised to undertake by the FCA.

Permission to use the Services

You may;
• view pages from our Services in a web browser.
• download pages from our Services for caching in a web browser.

You may only use our Services for your personal purposes; you must not use our
Services for any other purposes.

You must not:

• republish our Services;
• sell, rent or sub-license our Services; or
• show our Services in public.

We reserve the right to suspend or restrict access to our Services, to areas of our
Services and/or to functionality upon our Services. We may, for example, suspend
access to the Services during server maintenance or when we update the Services. You
must not circumvent or bypass, or attempt to circumvent or bypass, any access
restriction measures on the Services.

Misuse of Services

You must not:

• use our Services in any way or take any action that causes, or may cause,
damage to the Services or impairment of the performance, availability,
accessibility, integrity or security of the Services;
• use our Services in any way that is unlawful, illegal, fraudulent or harmful, or in
connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
• hack or otherwise tamper with our Services;
• probe, scan or test the vulnerability of our Services without our permission;
• circumvent any authentication or security systems or processes on or relating to
our Services;
• impose an unreasonably large load on our Services resources (including
bandwidth, storage capacity and processing capacity);
• decrypt or decipher any communications sent by or to our Services without our
permission;
• conduct any systematic or automated data collection activities (including without
limitation; scraping, data mining, data extraction and data harvesting) on or in
relation to our Services without our express written consent;
• access or otherwise interact with our Services using any robot, spider or other
automated means.

You must ensure that all the information you supply to us through our Services, or in
relation to our Services, is true, accurate, current, complete and non-misleading.

User accounts

You must not;

• allow any other person to use your account to access the Services; or
• use any other person’s account to access the Services.

You must contact us immediately if you become aware of any unauthorised use of your
account.

To access our Services, you will be asked to set up a password. You must keep your
password confidential.

You must notify us immediately if you become aware of any disclosure of your
password. You are responsible for any activity on our Services arising out of any failure
to keep your password confidential and may be held liable for any losses arising out of
such a failure.

of these terms. You must read our Privacy Policy and Cookies Policy before you use the
Services.

Limited warranties

We do not warrant or represent:

• the completeness or accuracy of the information published on our Services;
• that the material on the Services is up to date;
• that the Services will operate without fault; or
• that the Services or any service on the Services will remain available.

Limitations of liability

In no event shall Inicio AI, nor its directors, employees, partners, agents, suppliers, or
affiliates, be liable for any indirect, incidental, special, consequential or punitive
damages, including without limitation, loss of profits, data, use, goodwill, or other
intangible losses, resulting from

(i) your access to or use of or inability to access or use the Services;

(ii) unauthorized access, use or alteration of your transmissions or uploads,
whether based on warranty, contract, tort (including negligence) or any other legal
theory, whether or not we have been informed of the possibility of such damage, and
even if a remedy set forth herein is found to have failed of its essential purpose.

Breaches of these terms and conditions

Without prejudice to our other rights under these terms and conditions, if you breach
these terms and conditions in any way, or if we reasonably suspect that you have
breached these terms and conditions in any way, we may terminate or suspend your
access immediately.

Upon termination, your right to use the Services will immediately cease.
All provisions of the Terms which by their nature should survive termination shall survive
termination, including, without limitation, ownership provisions, warranty disclaimers,
indemnity and limitations of liability.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any
time. If a revision is material we will try to provide at least 30 days’ notice prior to any
new terms taking effect. What constitutes a material change will be determined at our
sole discretion.
By continuing to access or use our Services after those revisions become effective, you
agree to be bound by the revised terms. If you do not agree to the new terms, you must
stop using the Services.

Governing Law

These Terms shall be governed and construed in accordance with the laws of England
and Wales, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a
waiver of those rights. If any provision of these Terms is held to be invalid or
unenforceable by a court, the remaining provisions of these Terms will remain in effect.
These Terms constitute the entire agreement between us regarding our Services, and
supersede and replace any prior agreements we might have between us regarding the
Services.
